Terms of service for using Mercidia

Welcome to Mercidia. By accessing or using our platform, you agree to be bound by these Terms and Conditions. Please read them carefully before using our services.
By creating an account and using Mercidia, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, as well as our Privacy Policy and Cookie Policy. If you do not agree to these terms, you must not use our services.
Mercidia is a Shopify-first software-as-a-service (SaaS) platform that provides:
Features and integrations may be offered as previews, private beta capabilities, or design-partner functionality and may not be available to every account. We reserve the right to modify, suspend, or discontinue any aspect of the service at any time with or without notice.
To operate Mercidia, we use service providers that may process information on our behalf. Depending on the features you use, these providers include Supabase for authentication and database services, Render for backend hosting, Vercel for frontend hosting and delivery, and Stripe for billing and payment processing.
If you connect a third-party source, Mercidia may process data received from Shopify, Meta Ads, GA4, Google Ads evaluation accounts, or another supported provider as described in the product and our Privacy Policy. These providers operate under their own terms and privacy policies. We may update the provider list as our infrastructure or integrations change, subject to applicable notice requirements.
You may connect third-party accounts, including Meta business or advertising accounts, to Mercidia. You represent that you have the authority to grant Mercidia access to each account and that your use of the connected data complies with the applicable platform's terms and policies.
The current Meta integration uses the read-only ads_readpermission to retrieve campaign and advertising performance data for analytics and reporting. It does not create, edit, or delete Meta campaigns, ads, or budgets. Permissions and capabilities may change only when the integration is updated and the applicable authorization is presented to you.
The currently exercised launch connections are Shopify, Meta Ads, and GA4. Shopify uses merchant-managed credentials to read commerce records, and GA4 uses a configured service account with access to the selected property. Google Ads remains an evaluation-only connector until hosted OAuth, sync, refresh, and disconnect validation is complete.
Third-party platforms control their own availability, permissions, data, and retention. Mercidia does not guarantee the accuracy, completeness, or uninterrupted availability of data received from those platforms. You remain responsible for reviewing third-party permissions and for disconnecting or revoking access when you no longer want a connection active.
To disconnect Meta and request deletion of data held by Mercidia, follow our Data Deletion Instructions. Revoking access with Meta does not itself delete data already stored in Mercidia, and Mercidia cannot delete data held in Meta's systems on your behalf.
You must provide accurate, current, and complete information during registration. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account.
You must be at least 18 years old and have the legal capacity to enter into these Terms. By using our services, you represent and warrant that you meet these requirements.
You agree to use Mercidia only for lawful purposes and in accordance with these Terms. You agree NOT to:
Violation of these terms may result in immediate account suspension or termination.
The Mercidia platform, including all software, content, trademarks, logos, and documentation, is owned by NaNZeta LLC and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use our services for your internal business purposes.
You retain ownership of all data you input into the platform, including business configurations, campaign data, and analytics. You grant us a license to use this data solely to provide and improve our services.
If you provide feedback, suggestions, or ideas about our services, you grant us the right to use them without restriction or compensation.
Mercidia offers various subscription plans with different features and pricing. You agree to pay all fees associated with your chosen plan according to the billing schedule.
We reserve the right to change our pricing with 30 days' notice. Continued use after a price change constitutes acceptance of the new pricing.
You may cancel your subscription at any time. Cancellations take effect at the end of your current billing period. No refunds are provided for partial months.
Mercidia is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied. We do not guarantee that the service will be uninterrupted, error-free, or secure.
We provide tools and analytics, but we do not guarantee specific marketing results, ROI, ROAS, or business outcomes. Your success depends on many factors beyond our control.
Mercidia provides informational analysis and decision-support tools only. The service is not legal, tax, accounting, investment, financial, or other professional advice, and it does not create a professional-client relationship. The information shown may be incomplete, delayed, estimated, or affected by source-system limitations. You should consult a qualified professional where appropriate.
A pointer, recommendation, comparison, attribution, or other signal describes observed data and configured rules; it does not establish that one event caused another. Correlation, co-movement, or an attributed amount is not proof of causal lift. You are responsible for reviewing the evidence, validating assumptions, and deciding whether and how to act. Your team remains responsible for all decisions, approvals, campaign changes, budgets, and other actions taken using the service.
To the maximum extent permitted by law, NaNZeta LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of our services.
Our total liability for any claim related to these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.
We may connect to selected third-party platforms, including Shopify, Meta Ads, and GA4, when the relevant integration is available for your account. Google Ads remains evaluation-only and is not a launch-ready source claim. We are not responsible for the availability, accuracy, or functionality of these services. Any issues with third-party platforms should be directed to those providers.
You may stop using the service at any time and may cancel a paid subscription through the available billing controls. Cancellation takes effect at the end of the current billing period. Closure of an eligible shared workspace is subject to the workspace deletion controls and our Privacy Policy.
We reserve the right to suspend or terminate your account at any time if:
Upon termination, your right to use the service immediately ceases. We will delete eligible Mercidia-side data within 30 days, except where we must retain it for legal, security, fraud-prevention, dispute-resolution, or transaction-record reasons. For connected Meta data, see our Data Deletion Instructions. You remain liable for any fees accrued before termination.
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.
Any disputes arising from these Terms or your use of Mercidia shall be resolved through binding arbitration conducted in the State of Texas, in accordance with the American Arbitration Association's rules, unless you and NaNZeta LLC agree otherwise in writing. Nothing in this section prevents either party from seeking temporary or preliminary injunctive relief from a court of competent jurisdiction to protect its rights or confidential information while arbitration is pending.
You agree that any arbitration or legal proceeding shall be conducted on an individual basis and not as a class action, collective action, or representative action.
We may update these Terms and Conditions from time to time. We will notify you of material changes via email or in-app notification at least 30 days before they take effect. Your continued use of the service after changes become effective constitutes acceptance of the new terms.
If you do not agree to the updated terms, you must stop using our services and cancel your account.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Mercidia regarding our services.
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force.
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms at any time without notice.
